US SEC Releases Conflict Minerals Specialized Disclosure Report Form

The U.S. Securities and Exchange Commission has released "Form SD" for conflict minerals compliance reporting under the Conflict Minerals Reporting Rule. The rule requires certain companies to publicly disclose use of conflict minerals originating in the Democratic Republic of the Congo (DRC) or an adjoining country, including tantalum, tin, gold, or tungsten if those minerals are “necessary to the functionality or production of a product”.

Companies are required to provide this disclosure on the new Form S-D to be filed with the SEC. Issuers are required to file for the calendar year, regardless when their fiscal year ends. The first reports are due on May 31, 2014 (for the 2013 calendar year) and annually thereafter.
